VSA Board Meeting

Officers in attendance: Dave Milne, Allison Guth, Dave Fitz, Kevin Driscoll, Alice Riley, Bill Strachan, Mir Rezadoost, Scott Thoden, Lynn Martin, Paul Frascione, and DeAnna Lindonnguyen
Others in attendance: Scott McMillian, Todd Bynum, and Kevin Miller
Meeting was called to order at 6:40 pm.
Motion was made to approve minutes from Board meeting held on 10/18/2009. Meeting minutes were approved.
Treasurer Report:
- The board reviewed the income statement and balance sheet ending on 7/31/09. The financials were prepared by new accounting firm of Calvert & Company, CPA, P.C.
- Dave and Lynn are working with the new firm on getting the financials caught up to date and the account names.
New Business:
- The board reviewed a DRAFT contract for the Fundraising Director and was in agreement with changes in the wording.
- The board wants to make sure that John W. is covered for what he does under the VSA name. Therefore VSA will look into the insurance covered by VYSA.
- The cost and financing of the new turf field was discussed. VSA has sent out a request for financial proposal to several banks.
- Bill is working with Russ Potts. Mr. Potts deals with fundraising for turf fields.
- VSA is also looking for in kind donations and contributions for the new turf.
- John Stirrup has sent a letter to proceed with the lights at Long Park along with water and sewer.
- A motion was made by Dave Fitz to let Bill and Dave M. to move forward with the field, if it does not increase the payment by more than $1500 per month. This motion was seconded by Mir. The motion was approved by unanimous vote.
- A motion was made by Paul that the board is resolved to acquire the financing for the new turf field 5. The motion was seconded by Scott and it was approved by unanimous vote.
- The board discussed if there was a better day to have board meetings and if a time limit should be set, especially during the soccer seasons.
- There will not be a board meeting in December.
Vice President:
- The board reviewed the Articles of Incorporation. There was an address change and name change in the third article. In the fourth article, there was a wording change. The details for the fifth article will be in the bylaws, but it was discussed that the number of directors would be changed to 12.
- After much discussion/debate, it was decided that Dave M., Scott, Paul, and DeAnna would meet and discuss further changes/details and bring them back to the board.
Director of Coaching:
- STBW will be offering winter training.
- The academy training, clinics, and goalkeeper training all went all this fall season.
Registrar:
- The spring season registration will begin the first week of January.
Travel Commissioner:
- The academy training for the fall is over and winter training is about to begin.
- Player evaluations were done for the academy teams. Feedback has been given to Gus about how to better communicate the evaluations.
- Dave F. presented the board research he had done on Technical Director responsibilities from a VYSA document. It was determined that Bill, Gus, and Dave would sit down and discuss these responsibilities and come back to the board.
- The board wants it to be clear as to what VSA is paying for in the Technical Director fee. What is the fee getting us and how is it advancing VSA as a club?
- A conflict of interest issue with the coaches was also discussed.
SFL Commissioner:
- A report was given about the U19 boys fight. It was noted that Joe Klumpp and the other referees be commended for the actions they took.
- The team opposing team has been suspended for the rest of the season and removed from the SFL tournament. The league is still trying to identify the individuals involved. Further actions are still pending. Paul will let the board know the resolution of this matter.
- The SFL tournament is this weekend. VSA will move the Sunday matches to Bull Run Middle School from field 5.
Director of Referees:
- The turf field rules really need to be enforced to keep the fields in good condition.
- Paychecks will be given out Sunday to the referees.
- There will be a recertification class scheduled for December 19 at Camp Synder. Certification needs to be done every year.
- VSA needs to get the field names fixed with the leagues for the spring season.
Equipment:
- The equipment will be collected next weekend. The drop off locations will be the POD for the lower fields and for the upper fields it will be the shed.
